สภาหอการค้าแห่งประเทศไทย ได้ร่วมสะท้อนมุมมองของภาคเอกชนเพื่อเผยแพร่ความรู้และสร้างความเข้าใจเกี่ยวกับกฎหมายการค้าระหว่างประเทศ รวมถึงเตรียมความพร้อมของภาครัฐ ภาคธุรกิจ และผู้ประกอบการไทยต่อการเปลี่ยนแปลงทางกฎหมายที่สำคัญในอนาคต\u003C\u002Fp>\u003Cp>อนุสัญญาสหประชาชาติว่าด้วยสัญญาซื้อขายสินค้าระหว่างประเทศ หรือ CISG (United Nations Convention on Contracts for the International Sale of Goods) จัดทำขึ้นโดยคณะกรรมาธิการสหประชาชาติว่าด้วยกฎหมายการค้าระหว่างประเทศ (UNCITRAL) โดยมีวัตถุประสงค์เพื่อสร้างกฎเกณฑ์ทางกฎหมายที่เป็นมาตรฐานกลางสำหรับการซื้อขายสินค้าระหว่างประเทศ ช่วยลดปัญหาความแตกต่างของระบบกฎหมายภายในของแต่ละประเทศ และสร้างความเป็นธรรมให้แก่คู่สัญญาที่มาจากประเทศที่มีระบบกฎหมายแตกต่างกัน\u003C\u002Fp>\u003Cp>CISG ได้รับการยอมรับในฐานะ “กฎหมายกลาง” หรือ Neutral Law ซึ่งช่วยให้ผู้ประกอบการจากประเทศที่ใช้ระบบกฎหมายแตกต่างกัน ไม่ว่าจะเป็นระบบ Civil Law หรือ Common Law สามารถทำสัญญาซื้อขายสินค้าระหว่างประเทศได้โดยไม่จำเป็นต้องยอมรับกฎหมายของฝ่ายใดฝ่ายหนึ่ง ส่งผลให้การเจรจาทางธุรกิจมีความเป็นธรรม โปร่งใส และลดความได้เปรียบเสียเปรียบระหว่างคู่สัญญา\u003C\u002Fp>\u003Cp>ปัจจุบัน CISG มีประเทศภาคีจำนวน 97 ประเทศ ครอบคลุมประเทศคู่ค้าสำคัญของไทย เช่น สหรัฐอเมริกา ประเทศสมาชิกสหภาพยุโรป จีน และญี่ปุ่น จึงถือเป็นหนึ่งในเครื่องมือทางกฎหมายระหว่างประเทศที่ได้รับการยอมรับอย่างกว้างขวางที่สุดในโลกการค้า\u003C\u002Fp>\u003Cp>สาระสำคัญของ CISG ครอบคลุมประเด็นเกี่ยวกับการก่อให้เกิดสัญญา การเสนอและตอบรับคำเสนอ หน้าที่ของผู้ขายและผู้ซื้อ การส่งมอบสินค้า การชำระราคา การโอนความเสี่ยงในสินค้า การผิดสัญญา และมาตรการเยียวยาความเสียหาย โดยมีเป้าหมายเพื่อสร้างความแน่นอนทางกฎหมายและลดอุปสรรคในการทำธุรกรรมระหว่างประเทศ\u003C\u002Fp>\u003Cp>ในส่วนของการก่อให้เกิดสัญญา CISG กำหนดหลักเกณฑ์เกี่ยวกับคำเสนอ (Offer) และคำสนอง (Acceptance) ซึ่งมีลักษณะใกล้เคียงกับหลักนิติกรรมและสัญญาตามประมวลกฎหมายแพ่งและพาณิชย์ของไทย ขณะที่ในด้านสิทธิและหน้าที่ของคู่สัญญา ผู้ขายมีหน้าที่ส่งมอบสินค้า เอกสารที่เกี่ยวข้อง และโอนกรรมสิทธิ์ตามที่ตกลง ส่วนผู้ซื้อมีหน้าที่รับมอบสินค้าและชำระราคาตามกำหนด\u003C\u002Fp>\u003Cp>อีกประเด็นสำคัญคือเรื่องการโอนความเสี่ยงในสินค้า ซึ่งกำหนดจุดเวลาที่ความเสี่ยงจากการสูญหายหรือเสียหายของสินค้าจะเปลี่ยนจากผู้ขายไปยังผู้ซื้อ รวมถึงกำหนดมาตรการเยียวยาเมื่อเกิดการผิดสัญญา เช่น สิทธิในการระงับการปฏิบัติตามสัญญา สิทธิในการบอกเลิกสัญญาล่วงหน้าในกรณีที่เห็นได้ชัดว่าจะเกิดการผิดสัญญาในสาระสำคัญ และสิทธิในการเรียกค่าเสียหาย ทั้งนี้ คู่สัญญามีหน้าที่ดำเนินมาตรการที่เหมาะสมเพื่อบรรเทาความเสียหายที่เกิดขึ้นด้วย\u003C\u002Fp>\u003Cp>อย่างไรก็ตาม CISG มิได้ครอบคลุมกฎหมายการค้าระหว่างประเทศทุกมิติ โดยไม่ได้กำหนดเรื่องความสมบูรณ์หรือความมีผลของสัญญา (Validity of Contract) การระงับข้อพิพาท การขนส่งสินค้าทางทะเล หรือการซื้อขายทรัพย์สินบางประเภท เช่น หุ้น หลักทรัพย์ เงินตรา เรือ อากาศยาน และกระแสไฟฟ้า ดังนั้น คู่สัญญายังคงต้องกำหนดกฎหมายที่ใช้บังคับ วิธีการระงับข้อพิพาท และเงื่อนไขการขนส่งสินค้าไว้ในสัญญาอย่างชัดเจน รวมถึงอาจต้องอาศัยกฎหมายอื่นที่เกี่ยวข้อง เช่น กฎหมายรับขนของทางทะเล หรือ INCOTERMS เข้ามาประกอบการตีความและการปฏิบัติ\u003C\u002Fp>\u003Cp>หนึ่งในประเด็นที่ได้รับความสนใจจากการเสวนา คือ กรณีศึกษาของประเทศเวียดนามก่อนการเข้าเป็นภาคี CISG ซึ่งมีการศึกษาผลกระทบทางเศรษฐกิจและวิเคราะห์คดีตัวอย่างอย่างเป็นระบบ พบว่าประมาณร้อยละ 83 ของสัญญาซื้อขายสินค้าระหว่างประเทศไม่ได้มีการกำหนดกฎหมายที่ใช้บังคับ (Choice of Law) ไว้อย่างชัดเจน เมื่อเกิดข้อพิพาทจึงต้องอาศัยกฎหมายระหว่างประเทศแผนกคดีบุคคลหรือกฎหมายว่าด้วยการขัดกันแห่งกฎหมายเพื่อพิจารณาว่าจะนำกฎหมายของประเทศใดมาใช้บังคับ ซึ่งก่อให้เกิดความไม่แน่นอนและเพิ่มต้นทุนในการดำเนินธุรกิจ\u003C\u002Fp>\u003Cp>ภายหลังการเข้าเป็นภาคี CISG ปัญหาดังกล่าวลดลงอย่างมีนัยสำคัญ เนื่องจากคู่สัญญาสามารถอ้างอิงกฎหมายกลางที่เป็นที่ยอมรับร่วมกัน ส่งผลให้การทำธุรกรรมระหว่างประเทศมีความชัดเจนมากขึ้น ลดความเสี่ยงทางกฎหมาย และเพิ่มความเชื่อมั่นให้แก่ผู้ประกอบการและนักลงทุน\u003C\u002Fp>\u003Cp>สำหรับประเทศไทย ปัจจุบันอยู่ระหว่างการผลักดันร่างพระราชบัญญัติสัญญาซื้อขายสินค้าระหว่างประเทศ ซึ่งมีวัตถุประสงค์เพื่อรองรับการเข้าเป็นภาคี CISG และทำให้กฎหมายไทยสอดคล้องกับมาตรฐานสากล โดยกำหนดขอบเขตการใช้บังคับกับสัญญาซื้อขายสินค้าระหว่างประเทศ กำหนดหลักเสรีภาพในการแสดงเจตนา (Party Autonomy) ให้คู่สัญญาสามารถเลือกใช้หรือไม่ใช้กฎหมายดังกล่าวได้ รวมทั้งกำหนดแนวทางการตีความที่คำนึงถึงความเป็นกฎหมายระหว่างประเทศ ความเป็นเอกภาพในการบังคับใช้ และหลักความสุจริตในการค้าระหว่างประเทศ\u003C\u002Fp>\u003Cp>ในมุมมองของภาคเอกชน ผู้แทนจากสภาหอการค้าแห่งประเทศไทยได้สะท้อนข้อสังเกตว่า แม้ CISG จะเป็นมาตรฐานสากลที่ได้รับการยอมรับอย่างกว้างขวาง แต่ก็ยังมีประเด็นที่ต้องศึกษาและสร้างความชัดเจนเพิ่มเติม เนื่องจาก CISG ไม่ใช่กฎหมายที่มีความสมบูรณ์ในตัวเอง (Self-contained Law) และยังต้องอาศัยกฎหมายภายในของแต่ละประเทศเข้ามาเติมเต็มในบางเรื่อง\u003C\u002Fp>\u003Cp>ข้อกังวลสำคัญประการหนึ่ง คือ ความสัมพันธ์ระหว่าง CISG กับกฎหมายไทย โดยเฉพาะบทบัญญัติในประมวลกฎหมายแพ่งและพาณิชย์ที่กำหนดให้การซื้อขายทรัพย์สินบางประเภทต้องทำตามแบบหรือจดทะเบียน เช่น หลักเกณฑ์ตามมาตรา 456 ซึ่งจำเป็นต้องพิจารณาให้เกิดความชัดเจนว่าหลักการของ CISG จะถูกนำมาปรับใช้ร่วมกับกฎหมายภายในอย่างไร\u003C\u002Fp>\u003Cp>นอกจากนี้ CISG ยังไม่มีบทบัญญัติเกี่ยวกับการระงับข้อพิพาทโดยตรง คู่สัญญาจึงจำเป็นต้องกำหนดกลไกการระงับข้อพิพาทไว้ในสัญญาอย่างชัดเจน ไม่ว่าจะเป็นการดำเนินคดีต่อศาล การใช้อนุญาโตตุลาการ หรือกระบวนการระงับข้อพิพาททางเลือกอื่น ๆ เพื่อป้องกันปัญหาที่อาจเกิดขึ้นในอนาคต\u003C\u002Fp>\u003Cp>โดยภาพรวม ผู้เข้าร่วมการเสวนาเห็นตรงกันว่า การเข้าเป็นภาคี CISG จะเป็นก้าวสำคัญในการยกระดับกฎหมายการค้าระหว่างประเทศของไทย ช่วยเพิ่มความเชื่อมั่นให้แก่คู่ค้าต่างประเทศ ลดต้นทุนทางกฎหมาย เพิ่มโอกาสทางการค้าของผู้ประกอบการไทย and Preparing Thailand for Accession to the United Nations Convention on Contracts for the International Sale of Goods (CISG).” During the event, Dr. Thanet Sucharikul, Member of the Business Law and Regulatory Affairs Committee of The Thai Chamber of Commerce, shared perspectives from the private sector to promote knowledge and understanding of international trade law, while highlighting the importance of preparing government agencies, businesses, and Thai entrepreneurs for forthcoming legal developments.\u003Cbr>\u003Cbr>The United Nations Convention on Contracts for the International Sale of Goods (CISG) was developed by the United Nations Commission on International Trade Law (UNCITRAL) with the objective of establishing a uniform legal framework for international sales transactions. The Convention helps reduce legal uncertainties arising from differences among domestic legal systems and promotes fairness between contracting parties operating under different legal traditions.\u003C\u002Fp>\u003Cp>CISG is widely recognized as a “Neutral Law,” enabling businesses from countries governed by either Civil Law or Common Law systems to enter into international sales contracts without requiring either party to submit to the national law of the other. As a result, commercial negotiations become more balanced, transparent, and equitable.\u003Cbr>\u003Cbr>Currently, CISG has 97 Contracting States, including many of Thailand’s key trading partners such as the United States, member states of the European Union, China, and Japan. It is therefore regarded as one of the most widely adopted international legal instruments in global trade.\u003C\u002Fp>\u003Cp>The Convention covers key aspects of international sales transactions, including contract formation, offers and acceptances, obligations of sellers and buyers, delivery of goods, payment obligations, transfer of risk, breach of contract, and available remedies. Its primary objective is to enhance legal certainty and reduce barriers to cross-border trade.\u003Cbr>\u003Cbr>Regarding contract formation, CISG establishes rules governing offers and acceptances that closely resemble the principles of juristic acts and contracts under Thailand’s Civil and Commercial Code. In terms of contractual obligations, sellers are required to deliver goods, provide relevant documents, and transfer ownership as agreed, while buyers are obligated to accept delivery and pay the contract price accordingly.\u003C\u002Fp>\u003Cp>Another important aspect concerns the transfer of risk, which determines the point at which the risk of loss or damage to goods passes from the seller to the buyer. The Convention also provides remedies for breach of contract, including the right to suspend performance, the right to avoid a contract in cases of anticipated fundamental breach, and the right to claim damages. Furthermore, contracting parties are required to take reasonable measures to mitigate losses arising from any breach.\u003C\u002Fp>\u003Cp>Nevertheless, CISG does not cover every aspect of international trade law. It does not address issues relating to the validity of contracts, dispute resolution mechanisms, maritime transportation, or transactions involving certain categories of assets such as stocks, securities, currency, ships, aircraft, and electricity. Consequently, parties must continue to specify applicable law, dispute resolution procedures, and shipping arrangements within their contracts. Other legal instruments, such as maritime transport laws and INCOTERMS, may also be required for interpretation and implementation.\u003Cbr>\u003Cbr>One of the key discussion points during the seminar was Vietnam’s experience prior to its accession to CISG. Comprehensive studies examining economic impacts and case analyses revealed that approximately 83 percent of international sales contracts did not expressly designate a governing law. In the event of disputes, parties were therefore required to rely on private international law and conflict-of-law principles to determine the applicable legal system, resulting in uncertainty and increased business costs.\u003C\u002Fp>\u003Cp>Following Vietnam’s accession to CISG, these challenges were significantly reduced. Parties were able to rely on a commonly accepted neutral legal framework, leading to greater clarity in international transactions, reduced legal risks, and enhanced confidence among businesses and investors.\u003Cbr>\u003Cbr>For Thailand, efforts are currently underway to advance the draft International Sale of Goods Act, which aims to support Thailand’s accession to CISG and align domestic legislation with international standards. The proposed law defines the scope of application for international sales contracts, incorporates the principle of Party Autonomy by allowing parties to opt in or opt out of the Convention’s application, and establishes interpretative guidelines that emphasize the Convention’s international character, uniform application, and the principle of good faith in international trade.\u003C\u002Fp>\u003Cp>From the private sector’s perspective, representatives of The Thai Chamber of Commerce noted that while CISG is an internationally recognized standard, certain issues require further study and clarification. CISG is not a fully self-contained legal regime and, in some circumstances, still requires supplementation by domestic law.\u003C\u002Fp>\u003Cp>One notable concern relates to the interaction between CISG and Thai law, particularly provisions of the Civil and Commercial Code that require certain transactions to comply with formal requirements or registration procedures, such as those prescribed under Section 456. Greater clarity will therefore be necessary regarding how CISG principles will be integrated with existing domestic legal provisions.\u003C\u002Fp>\u003Cp>In addition, CISG does not provide direct mechanisms for dispute resolution. Contracting parties must therefore clearly specify dispute resolution procedures within their agreements, whether through litigation, arbitration, or alternative dispute resolution mechanisms, in order to minimize potential legal uncertainties.\u003C\u002Fp>\u003Cp>Overall, participants agreed that Thailand’s accession to CISG would represent a significant milestone in the modernization of the country’s international trade legal framework. It is expected to enhance confidence among international trading partners, reduce legal transaction costs, create new trade opportunities for Thai businesses—particularly small and medium-sized
